Terms of Service

1. Acceptance of Terms

By accessing or using CTR Studio (the "Service"), including the web platform at ctr.studio and the CTR Studio Chrome extension, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and CTR Studio ("we," "our," or "us").

2. Description of Service

CTR Studio is a YouTube optimization platform that helps content creators identify underperforming videos and improve their click-through rates through A/B testing of thumbnails and titles. The Service includes:

  • Analytics dashboard showing video performance metrics
  • Opportunity identification algorithm
  • Thumbnail and title variant creation tools
  • A/B testing functionality via YouTube API
  • Team collaboration features
  • Chrome extension for analytics synchronization

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

You must be at least 18 years old or have parental consent to use this Service.

4. YouTube Channel Authorization

To use the A/B testing features, you must connect a YouTube channel that you own or have authorization to manage. By connecting a channel, you represent and warrant that:

  • You are the owner of the YouTube channel or have explicit permission from the owner
  • You have the authority to modify video metadata (thumbnails, titles, descriptions)
  • You authorize CTR Studio to access and modify video metadata on your behalf
  • You understand that A/B tests will change your live video thumbnails and titles

5. Acceptable Use

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights of others
  • Upload misleading, deceptive, or clickbait thumbnails that violate YouTube policies
  • Attempt to manipulate YouTube's systems in ways that violate their Terms of Service
  • Access the Service through automated means (bots, scrapers) without permission
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Service to harm minors in any way
  • Transmit viruses, malware, or other harmful code

6. YouTube Terms Compliance

CTR Studio uses YouTube API Services. By using our Service, you also agree to comply with:

We are not responsible for any actions taken by YouTube against your channel as a result of content you create or tests you run through our platform.

7. Chrome Extension

The CTR Studio Chrome extension is an optional component that enhances the Service by:

  • Synchronizing video analytics from YouTube Studio
  • Capturing A/B test performance metrics
  • Providing real-time sync status updates

The extension only operates on YouTube Studio (studio.youtube.com) and requires you to be logged into both YouTube and CTR Studio. By installing the extension, you consent to its data collection as described in our Privacy Policy.

8. Intellectual Property

8.1 Our Property

The Service, including its design, features, code, and content (excluding user content), is owned by CTR Studio and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8.2 Your Content

You retain ownership of thumbnails, titles, and other content you create or upload. By using the Service, you grant us a limited license to use, store, and transmit your content solely to provide the Service.

8.3 Feedback

If you provide feedback or suggestions, you grant us the right to use them without compensation or attribution.

9. Payment Terms

Some features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay the applicable fees as displayed at the time of purchase
  • Provide accurate billing information
  • Automatic renewal at the end of each billing period unless cancelled

9.1 Billing

Payments are processed by Stripe. You authorize us to charge your payment method for all fees incurred. Prices are in USD unless otherwise stated.

9.2 Refunds

Refunds may be provided at our discretion. If you believe you are entitled to a refund, contact support@ctr.studio within 14 days of the charge.

9.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

10. Team and Workspace Features

If you create a workspace or invite team members:

  • You are responsible for managing access and permissions
  • You are responsible for actions taken by team members you invite
  • Team members may view and interact with shared channel data
  • Workspace owners can remove members and revoke access at any time

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • ACCURACY OR RELIABILITY OF RESULTS
  • THAT A/B TESTS WILL IMPROVE YOUR VIDEO PERFORMANCE

We do not guarantee any specific results from using the Service. Video performance depends on many factors outside our control.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CTR STUDIO SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • LOST PROFITS, REVENUE, OR DATA
  • DAMAGE TO YOUR YOUTUBE CHANNEL OR REPUTATION
  • ACTIONS TAKEN BY YOUTUBE AGAINST YOUR CHANNEL
  • INTERRUPTION OF BUSINESS

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless CTR Studio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you create or upload through the Service

14. Termination

14.1 By You

You may terminate your account at any time by contacting support@ctr.studio or using the account deletion feature (when available).

14.2 By Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Violate YouTube's Terms of Service
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees

14.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. We may delete your data in accordance with our Privacy Policy. Any active A/B tests will remain in their current state on YouTube (we will not automatically revert them).

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CTR Studio regarding the Service and supersede any prior agreements.
